1. Introduction
These terms and conditions ("Terms") govern your participation in the Woods Fine Linens Video Review Programme (the "Programme"). By submitting a video review through our submission form, you confirm that you have read, understood, and agree to be bound by these Terms in full.
The Programme is operated by Woods Of Harrogate Limited, trading as Woods Fine Linens ("we", "us", "our"), registered in England and Wales with company number 00740218. Our registered address is 67 Station Parade, Harrogate, North Yorkshire, HG1 1ST.
2. Eligibility
To participate in the Programme, you must:
a) be aged 18 or over at the date of submission;
b) have made a genuine purchase from Woods Fine Linens;
c) be the sole creator and owner of the video content submitted; and
d) be a resident of the United Kingdom (or, if resident elsewhere, confirm that you have the legal capacity to grant the licence set out in section 4 below).
3. How to Participate
Following a qualifying purchase and review, you may be invited to submit a video review via a link provided by email or on our website. To qualify, your video must:
e) be a minimum of 30 seconds in duration;
f) clearly show the Woods Fine Linens product purchased;
g) be of reasonable visual and audio quality (we reserve the right to reject submissions that are unclear, inaudible, or otherwise unsuitable); and
h) not contain any content that is offensive, defamatory, obscene, or otherwise inappropriate.
We reserve the right, at our sole discretion, to accept or reject any video submission. Submission of a video does not guarantee acceptance into the Programme or receipt of the store credit.
4. Licence Grant
By submitting your video and ticking the consent checkbox on the submission form, you grant Woods Of Harrogate Limited a non-exclusive, royalty-free, worldwide licence to use, reproduce, edit, adapt, crop, overlay with text or graphics, and display your video content (the "Content") for a period of 36 months from the date of submission (the "Licence Period").
This licence permits us to use the Content across any and all advertising and marketing channels, including but not limited to:
• paid social media advertising (including Meta, TikTok, Pinterest, and Google Ads);
• organic social media posts across all platforms;
• email marketing campaigns;
• the Woods Fine Linens website, including product pages and landing pages;
• printed materials, catalogues, and in-store displays; and
• any other marketing or promotional channel used by Woods Fine Linens.
You retain full ownership of the Content. This licence is non-exclusive, meaning you are free to use, share, or licence your video elsewhere. However, the licence granted to Woods Fine Linens cannot be revoked during the 36-month Licence Period.
Upon expiry of the Licence Period, we will cease use of your Content in any new materials. Content already published or distributed prior to expiry (for example, in a social media post or catalogue already in circulation) may remain accessible beyond the Licence Period, but we will not create new uses of the Content after expiry.
5. Consideration (Store Credit)
In exchange for the licence granted under section 4, and subject to our acceptance of your video submission, we will issue you £50 (fifty pounds) in Woods Fine Linens store credit. This credit:
i) will be issued as a unique discount code or gift card, sent to the email address provided on your submission form;
j) is valid for 12 months from the date of issue, unless otherwise stated;
k) may be used on any product available on the Woods Fine Linens online store;
l) cannot be exchanged for cash or transferred to another person;
m) is limited to one store credit per customer, regardless of the number of reviews submitted; and
n) constitutes the full and final consideration for the licence granted under these Terms.
The store credit is non-refundable once the Content has been used by Woods Fine Linens in any capacity.
6. Your Representations and Warranties
By submitting a video, you represent and warrant that:
o) you are the sole creator of the Content and own all intellectual property rights in it;
p) any individuals appearing in the Content have given their informed consent to appear, and to the use of the Content as described in these Terms;
q) no minors (persons under 18) appear in the Content;
r) the Content does not infringe the intellectual property rights, privacy rights, or any other rights of any third party;
s) the Content does not contain anything that is defamatory, obscene, offensive, discriminatory, or otherwise unlawful; and
t) the Content represents your genuine and honest opinion of the product.
7. Data Protection and Privacy
We process your personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. By participating in the Programme, you acknowledge the following:
Data we collect: your name, email address, order number, and the video content you submit.
Lawful basis for processing: the performance of the contract formed by your acceptance of these Terms (Article 6(1)(b) UK GDPR). Where we use your Content in marketing, our lawful basis is our legitimate interest in promoting our products (Article 6(1)(f) UK GDPR), balanced against your rights and interests.
How we use your data: to administer the Programme, issue your store credit, communicate with you about your submission, and use your Content as described in section 4.
Data sharing: your Content may be shared with third-party advertising platforms (such as Meta and Google) and marketing service providers acting on our behalf. We will not sell your personal data to any third party.
Retention: we will retain your personal data for the duration of the Licence Period (36 months) plus a further 12 months for administrative purposes, after which it will be securely deleted. Your Content will be removed from active use upon expiry of the Licence Period as described in section 4.
Your rights: you have the right to access, rectify, or erase your personal data, to restrict or object to processing, and to data portability. Please note that a request to erase your personal data will not affect the licence granted under section 4, which remains in force for the full Licence Period. 8. Indemnity
You agree to indemnify and hold harmless Woods Of Harrogate Limited, its directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with any breach of your representations and warranties under section 6, or any claim by a third party that the Content infringes their rights.
9. Limitation of Liability
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.
Subject to the above, our total liability to you in connection with the Programme shall not exceed the value of the store credit offered (£50).
10. Amendments
We may update these Terms from time to time. Any changes will apply to submissions made after the date on which the updated Terms are published on our website. The version of these Terms in force at the date of your submission will govern the licence granted in respect of that submission.
11. General
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
These Terms, together with the consent given via the submission form, constitute the entire agreement between you and Woods Of Harrogate Limited in relation to the Programme.
